WIMA is currently looking for a VolunteerBoard Secretary in its
Tanzania Office.
His/her role is critically
important for the board toeffectively perform and drive the
competitive and performance excellence of theorganization. S/he is the
gatekeeper of corporate governance excellence of theorganization. S/he
needs skills and knowledge beyond that of a lawyer,accountant,
corporate governance or compliance specialist. The best boardsecretary
is the keeper of secrets and a prized strategic and
influentialadvisors who help boards navigate the right path by
avoiding risk, complying withor exceeding regulatory standards and
remain faithful to organization goals andvalues.
The
board secretaryresponsibilities are
Organizing
meetings. A board secretary schedules and preparesinvitations
for meetings. A person in this position also creates agendasaccording
to the organization’s bylaws and distributes them to members,
alongwith any supporting documentation.

Building communication. Being privileged with access to board
membersand executives, a secretary bridges the communication gap
between them. Ifpossible, they advise the board on specific issues.
· Preparing materials . A board
secretary arranges meeting materials, such asreports and
presentations, in accordance with the company’s guidelines.
Thesematerials are distributed before the meeting unless the
organization’sregulations state otherwise.

Recording minutes. This is one of the essential
secretaryresponsibilities on a board of directors. A secretary
extracts key informationfrom meetings, takes detailed minutes, and
sends them to the full board ofdirectors within a week. This way,
board members can review materials while themeeting discussions are
still “fresh” in their minds.
· Maintaining
documentation . A board secretary reviews and updatesdocuments so
they contain accurate and verified information. What’s more,
thisprofessional is responsible for preserving all meeting records
approved bydirectors.
· Informing board
members . A secretary informs meeting attendees ofnews affecting
their board member responsibilities and explains how it
applies to them. Forexample, they should be kept abreast of recent
changes in legislation orrelevant laws.
Requirements
At least two years experience serving
theboard and have a Board Secretary Certificate from IOD Tanzania
